These Terms of Service ("Terms") govern your access to and use of the Centrix platform operated by MDX Line LLC ("MDX Line", "we", "us", or "our"). By accessing or using the platform, you agree to be bound by these Terms.

1. Use of the Platform

Centrix is an internal fleet management and communication platform provided to authorized employees, contractors, and partners of MDX Line. Access is granted on a per-user basis and is subject to role-based permissions. You agree to use the platform only for legitimate business purposes related to fleet operations, dispatch, and internal communication.

2. Account Responsibilities

• You are responsible for maintaining the confidentiality of your login credentials.
• You must not share your account with others or allow unauthorized access.
• You agree to notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. Communication Services

The platform includes messaging, voice calling, and SMS features. By using these services:

• You consent to receiving operational messages, calls, and SMS through the platform.
• You agree to use communication features only for business-related purposes.
• You will not send spam, unsolicited messages, or use the system for harassment.
• SMS recipients may opt out at any time by replying STOP. Standard message and data rates may apply.
• Communication records may be retained for operational and compliance purposes.

4. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorized access to any part of the platform or its systems.
• Interfere with or disrupt the platform or its infrastructure.
• Upload malicious content, viruses, or harmful code.
• Use the platform to transmit sensitive personal information beyond what is required for operations.

5. Intellectual Property

The Centrix platform, including its design, code, features, and content, is the property of MDX Line LLC. You are granted a limited, non-exclusive, non-transferable license to use the platform for its intended purpose. You may not copy, modify, distribute, or reverse-engineer any part of the platform.

6. Disclaimer of Warranties

The platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, error-free, or secure. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

To the fullest extent permitted by law, MDX Line shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of data, revenue, or business opportunities.

8. Termination

We may suspend or terminate your access to the platform at any time, with or without cause or notice. Upon termination, your right to use the platform ceases immediately. Provisions that by their nature should survive termination will remain in effect.

9. Changes to These Terms

We may update these Terms from time to time. Continued use of the platform after changes constitutes acceptance of the updated Terms. We will notify users of material changes.

10. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law provisions.
